تحديات وآليات تطبيق حوكمة المؤسسات الاقتصادية في الجزائر

Abstract

يهدف هذا البحث إلى دراسة واقع حوكمة المؤسسات الاقتصادية في الجزائر من خلال تحديد أبرز التحديات التي تعيق تطبيق مبادئها، واستعراض الآليات الكفيلة بتفعيلها بما ينسجم مع المعايير الدولية. اعتمد هذا البحث المنهج الوصفي التحليلي لتوضيح مفهوم الحوكمة وأهميتها في تحسين الأداء المؤسسي وضمان الشفافية والمساءلة، إضافة إلى تحليل البيئة القانونية والتنظيمية التي تحكم تطبيقها في الجزائر. توصل البحث إلى أن تطبيق الحوكمة في المؤسسات الاقتصادية الجزائرية لا يزال محدودا بسبب عدة عوائق، أهمها ضعف الوعي المؤسسي، وغموض الإطار التشريعي، وضعف آليات الرقابة والشفافية، واستمرار الممارسات الإدارية التقليدية، كما يوصي البحث أن تفعيل الحوكمة يتطلب إرادة تنظيمية حقيقية، وتطوير التشريعات القائمة، وإصدار دليل إلزامي وموحد للحوكمة يوجه المؤسسات نحو تطبيق فعّال ومستدام لمبادئها. This research aims to examine the reality of corporate governance in Algerian economic institutions by identifying the key challenges that hinder the implementation of its principles and by outlining the mechanisms necessary for its effective activation in accordance with international standards. The study adopts a descriptive-analytical methodology to clarify the concept of governance and highlight its significance in enhancing institutional performance, ensuring transparency and accountability, as well as analyzing the legal and regulatory framework governing its application in Algeria. The study concluded that the implementation of corporate governance in Algerian economic institutions remains limited due to several obstacles, the most prominent of which are weak institutional awareness, ambiguity in the legislative framework, insufficient monitoring and transparency mechanisms, and the persistence of traditional administrative practices. The research recommends that the effective activation of governance requires a genuine organizational will, the development of existing legislation, and the issuance of a unified and mandatory governance guide to direct institutions toward an effective and sustainable application o f i t s p r i n c i p l e s .
